These Terms of Service ("Terms") govern your use of www.opennotes.studio (the "Site") and the consultations, lessons, and related services we offer (together, the "Services"). Please read them carefully. By using the Site or booking with us, you agree to these Terms.
The Services are provided by Pricila Chávez Lara, a sole proprietor doing business as Open Notes Studio ("Open Notes," "we," "us," or "our"). Music instruction and consultations are provided online by Pri Chávez Lara.

1. Acceptance of these Terms
By accessing the Site, reserving a consultation, or purchasing or attending a lesson, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services. If you are using the Services on behalf of a minor, you agree to these Terms on that minor's behalf and are responsible for their compliance.
2. The Services
Open Notes offers private, online music instruction and related consultations, including instruction in cello, piano, guitar, and ukulele. Lessons and consultations are delivered online. We also offer a complimentary introductory consultation of approximately 15 minutes, which concludes with a personalized starter plan. The starter plan is a recommendation only; you are under no obligation to enroll. We may modify, add, or discontinue any part of the Services at any time.
3. Eligibility & minors
The Site and booking tools are intended for use by adults 18 years of age or older. Students under 18 are welcome, but a parent or legal guardian must make the booking, provide any required information, agree to these Terms, and be responsible for the student's participation, payment, and conduct. We ask that a parent or guardian be present or reachable during sessions with younger students. You represent that all information you provide is accurate and that you have the authority to enter into these Terms. Because lessons are delivered online and may be accessed from different states and countries, you are responsible for complying with any laws that apply to you where you access the Services.
4. Booking & consultations
You can reserve a consultation or lesson through our scheduling tool, which is provided by Calendly. When you book, you agree to meet privately with Pri Chávez Lara at the scheduled time. Because sessions are online, you are responsible for having a working device, a stable internet connection, and (where applicable) your instrument ready. If you are asked to turn your camera on and prefer not to, please let us know before the session. Booking confirmations, reminders, and any changes will be sent to the contact details you provide.
5. Payment & fees
The introductory consultation is free. Lessons and lesson packages are provided at the rates in effect at the time of purchase, which will be communicated to you before you pay. Payment is due at the time of purchase and is processed through Stripe, our third-party payment provider. You are responsible for any applicable taxes. We may change our rates from time to time; changes will not affect lessons you have already paid for.
6. Cancellations, rescheduling & refunds
- Consultations. You may cancel or reschedule a free consultation at any time at no charge. As a courtesy, please give as much notice as you can.
- Lessons. To cancel or reschedule a paid lesson without charge, please give at least 24 hours' notice.
- Late cancellations & no-shows. Cancellations made with less than 24 hours' notice, and sessions you miss without notice, may be charged in full or forfeited from a package.
- Instructor cancellations. If we need to cancel a session, we will offer to reschedule it or, where applicable, provide a credit or refund for that session.
- Package refunds. Lesson packages are non-refundable; however, unused lessons that are still valid may be rescheduled in accordance with the notice policy above.
7. Conduct & expectations
We want lessons to be a positive, respectful experience for everyone. You agree to treat the instructor with courtesy, to attend sessions on time and prepared, and not to engage in harassing, abusive, discriminatory, or unlawful behavior. When using the Site, you agree not to interfere with its operation, attempt to gain unauthorized access, or use it for any unlawful purpose. We may decline or discontinue Services for anyone who violates these expectations.
8. Recording of sessions
Lessons are recorded as a standard part of our lesson packages. We record for safety and accountability — which is particularly important for lessons involving minors — and to provide you with practice videos of your lessons. By enrolling in and attending lessons, you (and, for a student under 18, the enrolling parent or guardian) consent to this recording.
We keep lesson recordings secure and limit access to the instructor and to you (or a minor student's parent or guardian). We do not share recordings with third parties, and we do not use them for any other purpose unless we ask you and obtain your explicit permission first. You may request deletion of a recording, subject to any records we need to keep for legitimate business or safety reasons.
You may not separately record, photograph, stream, or otherwise capture a lesson or consultation yourself without the instructor's prior consent.
9. Intellectual property
The Site and its content — including text, graphics, logos, the "Open Notes" name and branding, and any lesson materials, exercises, or resources we provide — are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable, non-exclusive license to use materials we provide, including practice-video recordings of your own lessons, solely for your own non-commercial learning. You may not copy, resell, redistribute, or create derivative works from our materials without our written permission. You retain rights to your own performances.
10. Third-party services
We use third-party tools to deliver the Services, including Calendly (scheduling), Zoom (video sessions and lesson recording), and Stripe (payment processing). Your use of those tools is subject to their own terms and privacy policies, and we are not responsible for their acts or omissions. Links from the Site to third-party websites are provided for convenience and do not imply our endorsement.
11. Disclaimers
THE SERVICES AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. Music instruction is inherently individual. We do not guarantee any particular result, rate of progress, or level of musical achievement, which depend on your own practice, effort, and other factors. We do not warrant that the Site will be uninterrupted, secure, or error-free.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OPEN NOTES AND ITS OWNER, INSTRUCTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify and hold harmless Open Notes and its owner, instructors, and agents from any claims, damages, losses, and reasonable expenses (including attorneys' fees) arising out of your breach of these Terms, your misuse of the Services or the Site, or your violation of any law or the rights of a third party.
14. Termination
You may stop using the Services at any time. We may suspend or end your access to the Services, or decline to provide further Services, if you violate these Terms or if we reasonably believe it is necessary to protect the Services, the instructor, or others. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute-resolution terms — will continue to apply.
15. Governing law & disputes
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. Before filing any formal claim, you agree to first contact us and try in good faith to resolve the matter informally. If we cannot resolve it, you agree that any dispute will be brought exclusively in the state or federal courts located in New Haven, Connecticut, and you consent to the personal jurisdiction of those courts.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
17. General
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Services and supersede any prior agreements on that subject.
Severability. If any provision is found unenforceable, the remaining provisions will stay in full effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
